Mission Benefits

Your Mission Clearance Membership provides access to the benefits associated with your selected membership tier while your membership remains active, paid, and in good standing.

Benefits are designed to reward frequent guests while maintaining fairness, operational flexibility, and a high-quality experience for all visitors.

Benefits vary by membership tier and may include:

• Action Pass admission privileges
• Adventure Attraction access or discounts
• Food and beverage discounts
• Merchandise discounts
• Grip sock benefits
• Complimentary guest passes
• Bring-a-Friend discounts
• Monthly arcade credits
• Birthday party discounts
• Exclusive member events
• Promotional offers
• Additional benefits introduced from time to time

Benefit Availability

Unless expressly stated otherwise, membership benefits are available only while:

• the membership remains active
• all membership fees have been paid
• the member is not suspended
• the member has complied with these Membership Program Terms
• the benefit remains available

Action Pass Benefits

Action Pass benefits provide eligible members with admission to designated Action Pass attractions during normal operating hours. Action Pass access varies by membership tier and may include one-hour, two-hour, or unlimited all-day Action Passes. Action Pass admission is always subject to operating hours, maintenance, attraction availability, private events, capacity limitations, safety requirements, weather-related closures, governmental restrictions, and other operational circumstances.

Adventure Attraction Benefits

Certain memberships include Adventure Attraction benefits. Adventure Attractions currently include eligible experiences such as Virtual Reality, Axe Throwing, Fruit Chop, Escape Rooms, and other designated Adventure Attractions. Adventure benefits remain subject to reservations, availability, staffing, safety requirements, attraction-specific rules, and operating capacity.

Food, Beverage & Merchandise Discounts

Eligible memberships receive discounts on designated food, beverages, merchandise, and other qualifying purchases. Unless specifically stated otherwise:

• Discounts apply only to eligible regularly priced items.
• Discounts may not be combined with other promotions.
• Discounts do not apply to taxes, gratuities, gift card purchases, or excluded products.
• Alcohol discounts apply only to guests legally permitted to purchase alcoholic beverages who present valid identification.

Grip Sock Benefits

Certain memberships include complimentary grip socks or grip sock discounts.

• Complimentary socks are limited to the quantity included with the membership tier.
• Unused complimentary socks do not roll over.
• Additional socks may be purchased using the applicable membership discount.

Monthly Arcade Credits

Eligible memberships include monthly arcade credits.

• Credits are loaded according to Spy Ninjas HQ procedures.
• Credits have no cash value.
• Credits are non-transferable.
• Credits may not be redeemed for cash or exchanged for other benefits.

Complimentary Guest Passes

Certain memberships include complimentary guest admissions.

• Guest passes are valid only during an active membership.
• The member may be required to accompany the guest.
• Guest passes may require reservations and are subject to availability.
• Unused guest passes do not roll over unless expressly stated otherwise.

Bring-a-Friend Discounts

Eligible memberships include Bring-a-Friend discounts.

• The enrolled member must be present.
• Discounts apply only to eligible Action Pass admissions.
• Discounts apply only to the number of accompanying guests identified for the membership tier.
• Discounts may not be combined with other promotions.

Birthday Package Discounts

Eligible memberships receive discounts on qualifying birthday party packages.

• Discounts apply only to qualifying packages.
• Taxes and gratuities are excluded.
• Some premium upgrades or promotional packages may be excluded.

Member Events & Exclusive Perks

Spy Ninjas HQ may periodically offer member-only events, early access opportunities, promotional rewards, exclusive merchandise, seasonal benefits, and other exclusive experiences. Participation is always subject to availability.

Benefit Expiration

Unless expressly stated otherwise:

• Unused monthly benefits expire at the end of the applicable benefit period.
• Unused benefits do not accumulate.
• Unused benefits do not roll over.
• Unused benefits are forfeited upon cancellation or termination of membership.
• Membership benefits are privileges associated with an active membership and are not vested property rights.

Recurring Billing & Automatic Renewal

Automatic Renewal

Mission Clearance Memberships are recurring monthly memberships that automatically renew until cancelled in accordance with this Membership Program. By enrolling, the purchaser authorizes Spy Ninjas HQ to automatically charge the selected payment method for all recurring membership charges until the membership is cancelled. Membership benefits remain available only while the membership is active, paid, and in good standing.

Membership Commitment

Each Mission Clearance Membership requires an initial commitment of three (3) monthly membership payments. The initial commitment begins on the purchase date. During the initial commitment period, membership fees remain due regardless of membership usage. After the initial commitment has been satisfied, the membership continues on a month-to-month basis until cancelled or terminated in accordance with these Terms.

Payment Authorization

By purchasing a Mission Clearance Membership, the purchaser authorizes Dydyt LLC dba Spy Ninjas HQ and its authorized payment processor to charge the payment method provided for:

• The initial membership purchase;
• Each recurring monthly membership payment;
• Applicable taxes;
• Authorized membership upgrades;
• Other authorized membership-related charges.

Billing Date

Recurring membership charges are generally processed each month on or about the same calendar day as the original enrollment date. If that calendar day does not exist in a particular month, charges may be processed on the closest available business day. Billing dates may vary slightly due to weekends, holidays, banking procedures, or payment processor timing.

Maintaining Payment Information

Members are responsible for maintaining current payment information. Failure to maintain a valid payment method may result in interrupted membership benefits.

Declined or Failed Payments

If a recurring payment cannot be processed, Spy Ninjas HQ may:

• Retry the payment method;
• Request updated payment information;
• Temporarily suspend membership benefits;
• Restrict access to member benefits;
• Terminate the membership for non-payment.

Delinquent Accounts

Accounts with outstanding balances remain responsible for unpaid membership fees earned before cancellation or termination. Spy Ninjas HQ may pursue collection of legitimately owed amounts as permitted by law.

Taxes

Membership prices are subject to applicable federal, state, and local taxes unless expressly stated otherwise. Taxes are calculated according to applicable law at the time each recurring charge is processed.

Membership Price Changes

Spy Ninjas HQ may periodically modify membership pricing. Advance notice will be provided where required by applicable law. Price changes apply prospectively only.

Membership Upgrades

Eligible members may upgrade their Mission Clearance Membership. Upgrades may immediately change available benefits, modify future recurring billing amounts, establish a new billing cycle, and require acceptance of updated Membership Program Terms. Prorated charges may apply where permitted by Spy Ninjas HQ procedures.

Membership Downgrades

Downgrades generally become effective at the beginning of a future billing cycle. Certain promotional pricing, grandfathered memberships, or limited-time offerings may not remain available following a downgrade.

Membership Transfers

Mission Clearance Memberships are issued to one named member and may not be transferred, assigned, sold, exchanged, shared, inherited, or converted to another person.

• Spy Ninjas HQ may require identification to verify membership ownership.

Promotional Memberships

Spy Ninjas HQ may offer promotional pricing, introductory offers, seasonal memberships, or limited-time benefits. Unless expressly stated otherwise, promotional pricing and benefits expire according to the applicable promotion and may not be combined with other offers.

Membership Records

Spy Ninjas HQ maintains electronic membership records for operational, billing, security, and customer service purposes. These electronic records constitute the official record of membership status, recurring billing history, benefit usage, and membership activity unless otherwise required by law.

Membership Cancellation Policy

Cancel Anytime After Your Initial Commitment

Mission Clearance Memberships require an initial commitment of three (3) monthly membership payments.

After your initial commitment has been fulfilled, you may cancel your membership at any time.

• No long-term contract.
• No cancellation penalty.
• No advance notice required.
• Your membership benefits remain active through the end of your current paid billing period.

Our Commitment

Spy Ninjas HQ believes memberships should provide flexibility and exceptional value. We want members to remain because they enjoy the experience—not because they are locked into a long-term contract. After the initial three-month commitment has been satisfied, memberships may be cancelled at any time.

Initial Membership Commitment

Every Mission Clearance Membership begins with an initial commitment of three (3) monthly membership payments. Membership fees remain due throughout the initial commitment regardless of attendance or use. Completion of the initial commitment does not automatically cancel the membership. Memberships continue month-to-month until cancelled.

How to Cancel

After completing the initial three-month commitment, members may cancel by:

• Calling Spy Ninjas HQ at (702) 444-4800
• Visiting the Front Desk during normal operating hours

Effective Date of Cancellation

Once a cancellation request has been processed:

• Future recurring membership charges will stop.
• Membership benefits remain active through the end of the current paid billing period.
• Membership benefits automatically expire at the conclusion of that billing period.

Confirmation of Cancellation

Spy Ninjas HQ may provide written or electronic confirmation of cancellation. Members are encouraged to retain that confirmation for their records.

Refund Policy

Membership fees are non-refundable except where required by applicable law. Refunds or credits are not provided for unused visits, benefits, discounts, guest passes, arcade credits, grip socks, or partial months. Membership benefits have no cash value.

Membership Expiration Following Cancellation

Upon expiration of the final paid membership period, all recurring benefits, discounts, guest passes, and membership privileges terminate. Former members remain welcome to visit by purchasing admissions or enrolling again.

Rejoining the Membership Program

Former members may enroll again at any time, subject to current pricing, availability, promotional offers, and Membership Program Terms. Previous pricing or grandfathered benefits are not guaranteed.

Membership Cancellation by Spy Ninjas HQ

Spy Ninjas HQ may suspend or terminate memberships for legitimate business reasons including non-payment, fraud, misuse of benefits, chargeback abuse, sharing memberships, unsafe conduct, repeated rule violations, harassment, criminal activity, or damage to property. Except where immediate action is necessary, Spy Ninjas HQ will generally attempt to notify the member before permanent termination. Termination for misconduct does not automatically create a right to a refund.

Effect of Membership Termination

If Spy Ninjas HQ terminates a membership for non-payment or violation of these Terms, recurring billing authorization ends, membership benefits cease unless otherwise required by law, unpaid earned obligations remain due, and promotional pricing is not guaranteed upon re-enrollment.

Reservations, Attraction Availability & Participation Requirements

Reservations

Certain attractions, benefits, and member experiences require advance reservations. Reservations help manage capacity and provide the best possible guest experience.

• Escape Rooms may require reservations.
• Adventure Attractions may require reservations.
• Complimentary Guest Passes may require reservations.
• Reservations are subject to availability and are not guaranteed until confirmed.

Capacity & Availability

Membership does not guarantee admission to any attraction, reservation time, or event. Access is subject to operating hours, maintenance, staffing, capacity, safety requirements, private events, weather, and other operational considerations.

Operating Hours

Operating hours may change without notice. Members should verify current hours before visiting. Temporary closures do not automatically entitle members to refunds, credits, or extensions except where required by law.

Attraction Availability

Attractions may be temporarily unavailable due to maintenance, inspections, repairs, special events, renovations, staffing, equipment issues, or safety concerns. Spy Ninjas HQ may substitute substantially similar experiences when appropriate.

Participation Requirements

Participation in attractions remains subject to all posted rules and safety requirements.

• Completion of required waivers.
• Age, height, weight, and health requirements.
• Proper attire and equipment.
• Compliance with Team Member instructions.

Minors

Parents and legal guardians are responsible for supervising minors as required by Spy Ninjas HQ policies and for completing required participation documents on behalf of eligible minors.

Safety First

Safety is our highest priority. Spy Ninjas HQ reserves the right to deny participation in any attraction whenever participation could present an unreasonable safety risk to the participant or others.

Member Responsibilities

Members are expected to respect Team Members, other guests, and facility rules.

• Follow all posted attraction rules.
• Use benefits only as intended.
• Present membership identification when requested.
• Treat equipment and facilities responsibly.

Suspension of Benefits

Spy Ninjas HQ may temporarily suspend access to benefits while investigating suspected misuse, fraud, non-payment, or safety concerns. Temporary suspension does not waive outstanding payment obligations.

Membership Rules, Program Changes, FAQs & Legal Terms

Membership Rules

Mission Clearance Memberships are intended for the exclusive use of the enrolled member. Members are expected to use their benefits responsibly and in accordance with this Membership Program.

• Memberships are non-transferable.
• Benefits may not be sold, shared, or exchanged.
• Members must follow all posted rules and Team Member instructions.
• Misuse may result in suspension or termination.

Program Changes

Spy Ninjas HQ may modify membership benefits, operating procedures, reservation requirements, attractions, pricing, promotional offers, or program features for operational, legal, safety, or business reasons. Material changes affecting recurring billing or core benefits will be communicated in advance when required by applicable law.

Privacy

Personal information is handled in accordance with the Spy Ninjas HQ Privacy Policy. Transactional communications regarding memberships, billing, reservations, safety, and account administration may be sent as necessary. Marketing communications are governed by the member's separate communication preferences.

Definitions

Purpose

These definitions promote consistency throughout the Mission Clearance Membership Program.

Action Pass

An admission product providing access to designated Action Pass attractions during the applicable admission period, subject to operating hours, attraction availability, capacity limitations, safety requirements, and these Membership Program Terms.

Adventure Attraction

Any attraction designated by Spy Ninjas HQ as an Adventure Attraction, including Virtual Reality, Axe Throwing, Fruit Chop, Escape Rooms, and other attractions designated from time to time.

Billing Period

The recurring monthly period beginning on the membership enrollment date or other billing date established by Spy Ninjas HQ.

Business Day

Any day Spy Ninjas HQ conducts normal administrative business, excluding recognized holidays when administrative offices are closed.

Complimentary Benefit

Any admission, discount, guest pass, arcade credit, grip sock benefit, promotional offer, or other benefit provided without additional charge as part of an active membership.

Guest

Any individual visiting Spy Ninjas HQ, whether or not they are a Mission Clearance Member.

Guest Pass

A complimentary admission benefit issued under an eligible membership for a qualifying guest, subject to the applicable membership limitations.

Member

The individual identified in Spy Ninjas HQ's records as the owner of an active Mission Clearance Membership.

Member in Good Standing

A member whose membership is active, payments are current, membership has not been suspended or terminated, and whose use complies with these Terms.

Membership

A recurring subscription program issued by Spy Ninjas HQ providing designated benefits under the selected Mission Clearance level.

Membership Benefit

Any privilege, discount, admission, reward, guest benefit, arcade credit, or other advantage associated with an active membership. Membership Benefits are contractual privileges and are not property rights.

Membership Comparison Table

The official comparison chart identifying the benefits associated with each membership tier. If marketing materials conflict with this table, the Membership Comparison Table and these Terms control.

Membership Program

The Spy Ninjas HQ Mission Clearance Membership Program governed by these Terms, the Membership Comparison Table, applicable policies, and incorporated documents.

Mission Clearance Membership

Any recurring membership offered under the Mission Clearance program, including Agent, Operative, Field Agent, Top Secret, and successor tiers.

Promotional Benefit

A temporary benefit, introductory offer, seasonal promotion, or limited-time incentive that expires according to its stated terms.

Reservation

A confirmed booking for an attraction, experience, guest admission, or event. Reservations are not guaranteed until confirmed.

Team Member

An employee, manager, contractor, or authorized representative of Spy Ninjas HQ acting within the scope of their responsibilities.

Waiver

Any participation waiver, assumption of risk agreement, release of liability, arbitration agreement, or similar document required before participation in designated attractions.

We, Us, Our, Spy Ninjas HQ

Collectively refers to Dydyt LLC dba Spy Ninjas HQ and its successors, affiliates, employees, managers, agents, and representatives, as applicable.

You or Your

The purchaser of a Mission Clearance Membership and, where applicable, the enrolled member.

Interpretation

• Singular terms include the plural and vice versa.
• References to one gender include all genders.
• 'Including' means 'including, without limitation.'
• Section headings are for convenience only and do not affect interpretation.

SECTION VI

General Legal Provisions

Entire Agreement

The Mission Clearance Membership Program, the applicable Membership Comparison Table, incorporated policies, required participation waivers, and the Privacy Policy collectively constitute the entire agreement governing the Membership Program.

Electronic Acceptance

Enrollment through Spy Ninjas HQ's authorized systems constitutes the member's electronic acceptance of these Membership Program Terms. Electronic records and acknowledgements have the same force and effect as signed paper records to the extent permitted by law.

Electronic Communications

Spy Ninjas HQ may provide transactional communications relating to memberships electronically, including purchase confirmations, receipts, billing notices, reservation confirmations, operational notices, safety information, and other account-related communications.

Program Changes

Spy Ninjas HQ may modify these Membership Program Terms from time to time. Updated versions become effective upon publication or on the effective date stated within the updated Terms. Material changes affecting recurring billing or core contractual rights will be communicated as required by applicable law.

Force Majeure

Spy Ninjas HQ is not responsible for delays, interruptions, or temporary unavailability caused by events beyond its reasonable control, including severe weather, utility failures, governmental actions, emergencies, labor disruptions, public health events, or similar circumstances.

Assignment

Members may not assign or transfer their memberships or rights under these Terms. Spy Ninjas HQ may assign or transfer this Membership Program in connection with a merger, acquisition, sale of assets, or corporate reorganization.

Severability

If any provision of these Terms is determined to be unenforceable, the remaining provisions remain valid and enforceable to the fullest extent permitted by law.

No Waiver

The failure of Spy Ninjas HQ to enforce any provision of these Terms on one occasion does not waive the right to enforce that provision or any other provision in the future.

Governing Law & Venue

These Membership Program Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Unless otherwise required by applicable law or a separate binding arbitration agreement, legal proceedings relating to these Terms shall be brought in the appropriate state or federal court located in Clark County, Nevada.

Intellectual Property

All Spy Ninjas HQ names, logos, trademarks, graphics, membership names, and related branding remain the exclusive property of Spy Ninjas HQ or their respective owners. Membership does not grant any ownership or license rights except as necessary to receive membership benefits.

Member Code of Conduct

Our Commitment

Spy Ninjas HQ is committed to providing a safe, welcoming, and enjoyable environment for every guest. Members are expected to conduct themselves in a respectful and responsible manner at all times.

Expected Conduct

Members agree to:

• Treat Team Members and other guests with courtesy and respect.
• Follow all posted rules and verbal instructions.
• Use attractions safely and only as intended.
• Present valid membership identification upon request.
• Supervise minors in their care as required.

Prohibited Conduct

The following may result in suspension or termination of membership:

• Sharing or transferring membership benefits.
• Fraudulent or deceptive activity.
• Harassment, threats, abusive language, or disruptive behavior.
• Damage to Spy Ninjas HQ property.
• Entering restricted areas without authorization.
• Violation of safety rules or refusal to follow Team Member instructions.
• Illegal activity on the premises.

Safety & Security

Spy Ninjas HQ reserves the right to refuse admission, remove a guest, or suspend membership privileges whenever reasonably necessary to protect guests, Team Members, or property.

Photography & Media

Members may capture personal photos and videos for non-commercial use where permitted. Photography or recording may be restricted in certain attractions, private events, or operational areas.

Commercial Use

Memberships and membership benefits are intended solely for personal recreational use and may not be used for commercial purposes without the prior written consent of Spy Ninjas HQ.

Enforcement

Spy Ninjas HQ may investigate suspected violations of this Code of Conduct and may suspend or terminate membership privileges in accordance with the Membership Program Terms.
